"Workshop" means the automotive repair shop, service centre, or mechanical business that subscribes to the Service.

"Workshop Account" means the subscription account created by a Workshop to access the Service.

"Authorised Users" means employees, contractors, or agents authorised by the Workshop to use the Service.

"Customer Data" means all data, information, and content provided by you or your customers through the Service, including customer records, vehicle information, and service history.

"Platform" means the WorkshopBase software application, including all features, functionality, and integrations.

3. Eligibility and Account Registration

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

Separate login credentials may be created for technicians to access the Technician Portal. Workshop owners are responsible for managing technician access and ensuring proper use.

4. Subscription and Fees

WorkshopBase offers various subscription plans with different features and pricing tiers. Details of available plans are provided on our website and may be updated from time to time.

We reserve the right to modify subscription fees with at least 30 days' written notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new fees.

The Service, including all software, algorithms, user interfaces, designs, graphics, text, and other content (excluding Customer Data), is owned by WorkshopBase and protected by intellectual property laws. All rights not expressly granted are reserved.

WorkshopBase and associated logos are trademarks of WorkshopBase. You may not use our trademarks without prior written permission.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such feedback without compensation or attribution.

9. Service Availability and Support

We strive to maintain Service availability but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to:

Before initiating any formal dispute resolution, you agree to contact us to seek an informal resolution. We will work in good faith to resolve disputes amicably.

18.2 Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the Australian Arbitration Act 1974. Arbitration will take place in Perth, Western Australia.

You agree to bring disputes only in your individual capacity and not as part of any class or representative action.

19. General Provisions

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts in Perth, Western Australia.

19.2 Entire Agreement

These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and WorkshopBase regarding the Service.

19.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

19.5 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

19.6 Force Majeure

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, internet failures, or government actions.

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and WorkshopBase.

These Terms do not confer any rights or remedies upon any person other than the parties to these Terms.
